    3、e “COMPANY”,以下简称“本公司”乙方(劳动者) 姓 名:性 别: 出 生 年 月: 出 生 地: 有效身份证件号码:(护照)现 住 址:联 系 电 话:Hereinafter referred to as the “EMPLOYEE”,以下简称“该员工”Hereinafter collectively referred to as the “PARTIES”. 甲方、乙方以下统称“合同双方”。In accordance with the Labour Law and other relevant laws and regulations of the Peoples Republic

    4、 of China, the PARTIES have concluded the following labour contract (hereinafter referred to as the “CONTRACT”)合同双方依照中华人民共和国劳动法以及中华人民共和国其它相关法律法规,共同约定以下劳动合同(以下简称“本合同”)。ARTICLE 1: POSITION & TASKS OF WORK第一条:职务及工作职责1.1. The EMPLOYEE will have the following position: 该员工将担任以下职务:_Vice President of Marke

If necessary due to the management organisation of the COMPANY and or the competence and abilities of the EMPLOYEE the COMPANY may adjust the position, duties and responsibilities of the EMPLOYEE.若由于本公司管理编制的需要及/或由于该员工本人资格与能力的原因,本公司可在必要的情况下对该员工的职务和工作职责进行适当调整。ARTICLE 2: TRIAL PERIOD第二条:

    6、试用期2.1 The trial period will start on the date of signature of this CONTRACT. The duration of the trial period is three (3) months. During the trial period the EMPLOYEE will be bound by all articles of this contract. 试用期自本合同签署之日起开始,时间为三个月。在试用期间,该员工受本合同全部条款所约束。2.2 After the specified trial period and

    7、 if no notice of termination is given the EMPLOYEE automatically becomes employed under the terms and conditions of this CONTRACT.在约定的试用期内,若该员工没有收到关于解除劳动关系的通知,在试用期满后,该员工自动转为本公司正式员工,执行本合同规定的条款。ARTICLE 3: DURATION OF THE CONTRACT第三条:合同期限3.1 The duration of this CONTRACT is twenty-four (27) months.本合同期

    8、限为27个月。3.2 This CONTRACT maybe extended upon agreement of both PARTIES. An extension to this CONTRACT shall come into force only after a written agreement has been signed by both PARTIES.本合同经合同双方同意后可以续签。只有在合同双方签署书面协议后,续签的合同方能生效。ARTICLE 4: SALARY第四条:工资4.1 Party A shall pay off salary to Party B in cu

    9、rrency on the_of every month. The pay period is from the beginning to the end of last month. Party B works before paid.甲方每月_日以货币的形式足额支付乙方工资,结算周期为上月月初到上月月末,实行先工作后发薪的制度。4.2 Party Bs normal annual salary is One hundred and sixty thousand in SGD/HKD at the exchange rate to the payment date. The basic sa

    10、lary can be adjusted as per the companys operation and Party Bs performance. 乙方正常工作基本年薪为 160000 元(新加坡币/港币),汇率以支付当日为准。根据公司经营状况和乙方工作表现,乙方工资及奖金可另行调整4.3 Party A will deduct Party Bs social insurance premium and individual income tax from his or her salary according to the law and regulation of China. An

    11、d Party B should afford the relevant taxes and fees in accordance with the law and regulation of the workplace. 甲方按照中国有关规定对乙方所应承担的社会保险费用及个人所得税进行代扣代缴。按照乙方工作所在地国家规定所应支付的相关税费由乙方自行承担。ARTICLE 5: PREMIUM & Stock 第五条:奖金及股权5.1 At the full discretion of the Chairman and based upon his general attitude and th

    12、e result of his work and fulfilment of his objectives detailed with increasing20% of the annual turnover and at the beginning of each calendar year the EMPLOYEE will be entitled to an Two hundred thousand RMB bonus and shall be paid to the EMPLOYEE for each full calendar year which the EMPLOYEE work

    13、s for the COMPANY in two (2) instalments the following year.经本公司董事长同意,并且根据该员工的工作态度、工作成果及其完成年度营业额目标的20%增长,该员工将有权在每个公历年初享受年终奖金(奖金总额不超过20万人民币)。员工为公司工作满一年时,奖金将于次年分两次发放给个人。5.2 With the consent of the board of directors of the company and in accordance with the operating rules of the companys share reform

    14、, The employee shall have the right to participate in the Equity Incentive Plan of the company and enjoy the equity investment. Specific details and signed an side agreement.经公司董事会同意,并根据公司股改的作业规范,该员工将享有公司的相应职位的股权激励计划及投资回报。 具体详情另行签订补充协议ARTICLE 6: DISCIPLINE第六条:劳动纪律6.1 Apart from the provisions of thi

    15、s CONTRACT the EMPLOYEE must respect all relevant laws and regulations of the Peoples Republic of China rules and regulations of the COMPANY and provisions of any relevant collective labour contract.除本合同所规定之条款外,该员工还须遵守中华人民共和国相关法律法规、本公司制定的规章制度,以及其它劳动合同方面的相关规定。6.2 he EMPLOYEE must respect and execute

    16、any and all formal instructions given to him/her regarding the duties and responsibilities of his/her tasks of work.该员工须遵守并执行一切与其工作职责有关的正式指令。6.3 In cases of an offence, gross misconduct, and or any violation of labour discipline the COMPANY will normally carry out the following procedure: 若该员工出现过错、严

    17、重过失及/或其它违反劳动纪律的行为,本公司一般依照以下程序对该员工进行处罚:1 Oral warning 口头警告2 First written warning 第一次书面警告3 Final written warning 第二次书面警告4 Dismissal 开除6.4 However the COMPANY reserves the right to omit any of these stages as the case may be.然而,本公司有权根据实际情况对上述某些步骤进行调整。6.5 The EMPLOYEE has the right to appeal against wr

    18、itten warnings or dismissal to the Labour Dispute Committee if any.该员工有权针对其受到的书面警告或开除决定向劳动争议委员会提出申诉(如需)。ARTICLE 7: SICKNESS & INJURY LEAVE第七条: 病假及伤假7.1 The EMPLOYEE will be entitled to sickness and injury leaves in accordance with the relevant laws and regulations.该员工有权根据相关法律法规享受病假及伤假。7.2 The EMPLOY

    19、EE applying for sickness or injury leave shall fill in a leave application form and get approval from his/her manager. Leave for more than two (2) days shall be approved by the Chief Executive Officer of the COMPANY and submitted to the Office Manager, Human Resources Manager or their Manager for ve

    20、rification and filing before going for leave. 申请病假或伤假时,该员工应填写“休假申请表”,并必须得到其上级主管的准许。若该员工的休假超过两(2)天,则需经本公司首席执行官允许,且应在休假前将“休假申请表”提交至行政经理、人力资源部经理或直属上级经理以供审核及存档。In case of any sudden sickness or injury the EMPLOYEE shall inform his/her manager no later than the end of the first day. A written confirmatio

    21、n shall be submitted to the Office Manager and Human Resources Manager for verification and filing within two (2) days after he or she comes back to work.若该员工突发疾病或受伤,需在当天结束前通知其上级经理,并在返回岗位后的两(2)个工作日内将书面说明提交行政经理及人力资源部经理以供审核及存档。7.3 If the EMPLOYEE is absent for more than one (1) week he/she must ensure

    22、 that the Chief Executive Officer are kept informed of the progress at weekly intervals.若该员工的病假超过一周,该员工必须每周向首席执行官报告其病情状况。7.4 The EMPLOYEE taking sickness or injury leaves for more than one (1) day must provide a medical certificate issued by a qualified doctor. Failure or refusal to provide the cert

    23、ificate or providing false or inaccurate information will be deemed as a gross misconduct.若该员工休病假或伤假超过一天,必须提供由专业医师出具的病假条。若该员工无法或拒绝提供病假条或提供虚假信息,将被视为严重过失。ARTICLE 8: LABOUR SAFETY & HYGIENE第八条:劳动安全及劳动卫生保障8.1 The COMPANY will establish a sound labour safety and hygiene facilities and shall strictly impl

    24、ement rules and standards of labour safety and hygiene of the Peoples Republic of China, conduct labour safety and hygiene education, prevent accidents and reduce occupational hazards.本公司将建立一套合理的劳动安全卫生保护措施,严格落实中华人民共和国劳动安全卫生制度和标准,开展劳动安全卫生教育,防止事故发生,减少职业病危害。8.2 The COMPANY shall provide the EMPLOYEE wi

    25、th labour safety and hygiene conditions and necessary articles in conformity with the relevant laws and regulations.本公司将依照有关法律法规为该员工提供劳动安全卫生条件以及必要的设备。8.3 The EMPLOYEE shall have the right to refuse to carry out any dangerous operation forced upon him/her by management personnel in violation of the r

    26、elevant regulations.若该员工的上级主管违反相关法律法规,要求其从事危险性工作,该员工有权拒绝。ARTICLE 9: SOCIAL INSURANCES第九条:社会保险9.1 The COMPANY must join social insurance schemes for the EMPLOYEE in accordance with the relevant laws and regulations of the Peoples Republic of China and shall pay on time social insurance premiums to th

    27、e social insurance institutions according to the standards set by the local authorities.本公司严格遵守中华人民共和国有关法律法规为该员工缴纳社会保险,并且依照当地政府部门制定的标准将保险费按时、全额支付给社会保险机构。ARTICLE 10: HOLIDAYS 第十条:休假10.1 The EMPLOYEE enjoys statutory holidays for official public holidays, wedding, and funerals in line with the relevan

    28、t laws and regulations of the Peoples Republic of China.该员工依照中华人民共和国有关法律法规享受法定休假,包括法定节假日、婚假、丧假、产假。10.2 The EMPLOYEE is entitled yearly (for a full year worked) to a paid annual vacation of ten (10) working days exclusive of the statutory holidays.该员工在本公司工作满一年后有权享受每年十个工作日的带薪年假,不含法定节假日。The holidays re

    29、ference period is from the first day of January to the thirty first day of December. Holidays accrued during one period have to be taken on the following holiday period. For the first year of employment, holidays will be accrued at pro rata temporis.每年1月1日至12月31日作为一个休假年度,当年未休的假期只可累积到次年使用。在本公司工作未满一年的

    30、新员工可在次年享受年假,具体的年假天数按照其实际工作时间计算。 10.3 After the EMPLOYEE completes five (5) years of continuous work for the COMPANY the EMPLOYEE is entitled yearly (for a full year worked) to one (1) further working day of paid annual vacation for each full year which the EMPLOYEE works for COMPANY, but the paid an

    31、nual vacation shall not exceed twenty (20) working days in the aggregate.该员工在本公司任职满五年后,在本公司每工作满一年,每年可以增加一个工作日的带薪年假,但每年带薪年假累积最多不超过二十个工作日。10.4 All leave must be taken at times agreed with the Chief Executive Officer of the COMPANY ten days in advance.所有休假必须提前10天向本公司申请并获得首席执行官的同意。ARTICLE 11: EXCLUSIVIT

    32、Y & NON-COMPETITION第十一条:唯一性及非竞争协定11.1 The EMPLOYEE must devote in full all his/her working time to the COMPANY.该员工在本公司工作期间必须勤奋敬业。11.2 It is strictly forbidden for the EMPLOYEE to have any other professional activity for himself/herself or and relatives or and third parties even free of charge.严格禁止该员

    33、工在本公司任职期间为其自身及/或亲属及/或第三方提供任何有偿或无偿专业劳动。11.3 The EMPLOYEE undertakes not to exercise directly or indirectly on behalf of any competitor to the COMPANY even as free of charge or for himself/herself any activity which may compete with the business of the COMPANY for one (1) year after the termination of

    34、 the present CONTRACT. This Article 14.3 is not applicable if termination of the CONTRACT is due to COMPANY for other reasons than the ones covered by Article 14 and Article 15. 该员工与本公司解除本合同后一年内不得直接或间接地代表本公司的任何竞争对手从事任何可能伤及本公司利益的有偿或无偿活动。若由于其它原因而非本合同第14条和第15条解除本合同的,不适用本合同第14.3条。11.4 The EMPLOYEE shall

    35、 pay the COMPANY an amount of RMB10,000 to RMB100,000 as a penalty clause if he/she does not comply with Article 11.1., Article 11.2., and Article 11.3. hereto. This amount does not include the possible actual damages which may be claimed by the COMPANY.若该员工违反本合同第11.1条、第11.2条及第11.3条的规定,其必须向本公司支付1万-1

    36、0万人民币作为赔偿。该笔赔偿不包括本公司对可能造成的实际损害进行索赔的金额。ARTICLE 12: CONFIDENTIALITY第十二条:保密协定12.1 The EMPLOYEE shall keep strictly secret and confidential and not to disclose to any third PARTY any and all technical, economic, financial, client or marketing information acquired from the COMPANY and or obtained because

    37、 of his/her activities in the COMPANY.该员工须严守公司机密,不得向任何第三方透露自本公司处获得的及/或由于该员工在本公司任职而获得的任何技术、经济、财务、客户或市场信息。The EMPLOYEE shall not use any such information for any purpose whatsoever except within and for the tasks, duties, and responsibilities provided in this CONTRACT.该员工亦不得将上述信息用于本合同规定之工作职责以外的一切活动。12

    38、.2 The EMPLOYEE agrees that any disclosure or non authorised use of such information shall be considered as a serious misconduct except in the case whereby the EMPLOYEE has received a prior written permission from the COMPANY management.该员工认同,除非该员工已事先收到本公司管理部门发出的书面许可,否则,泄露上述信息或在未被授权的情况下使用上述信息将被视为严重过

    39、失行为。12.3 The EMPLOYEE shall comply with his/her confidentiality obligations pursuant to this Article 15 for the whole term of this CONTRACT and duration of five (5) years after the termination of the CONTRACT.该员工在本公司任职期间以及在本合同解除后五(5)年内应当按照本合同第12条的规定遵守保密协议。12.4 The EMPLOYEE shall pay the COMPANY an a

    40、mount of RMB10,000 to RMB100,000 as a penalty if he/she does not comply with his/her confidentiality obligations pursuant to this Article 15. This amount does not include the possible actual damages which may be claimed by the COMPANY.若该员工违反本合同第12条的规定,没有尽到其应尽的保密义务,则该员工必须向本公司支付1万-10万人民币作为赔偿。该笔赔偿不包括本公

    41、司对可能造成的实际损害进行索赔的金额。ARTICLE 13: RESPONSIBILITIES OF THE PARTIES第十三条: 双方职责13.1 Either of the PARTIES shall perform its responsibilities under this CONTRACT strictly in accordance with the provision hereof.合同任何一方都应按照本合同所规定的条款严格履行各自职责。13.2 Either of the PARTIES should bear responsibilities for compensat

    42、ion if it violates this CONTRACT, infringes upon the interests of the other PARTY and causes damages to the other PARTY. 若合同任何一方违反本合同以及损害本合同另一方的利益并给本合同另一方造成损害,该方承担违约责任。ARTICLE 14: TERMINATION OF THE CONTRACT第十四条:合同终止14.1 Either of the PARTIES shall be entitled to terminate this CONTRACT for reasons

    43、expressly provided by the relevant laws and regulations of the Peoples Republic of China. Such termination of this CONTRACT shall comply with the proceedings provided by the relevant laws and regulations.合同任何一方均有权依照中华人民共和国相关法律法规终止履行本合同。本合同的终止须遵照有关法律法规操作进行。14.2 Furthermore the COMPANY may terminate t

    44、he CONTRACT for any one of the following reasons:此外,在下列情况下,本公司可随时解除本合同:a. The EMPLOYEE has a conflict between personal interest and the interest of the COMPANY in dealing with supplier, customers, and individuals of other organisations doing or seeking to do business with the COMPANY.该员工在与本公司的供货商、客户

    45、及其它机构的人员开展业务或收集业务信息期间发生其个人与本公司利益上的冲突。b. The EMPLOYEE has asked for or received any advantage or benefits either in monetary or non monetary term of any kind form persons or organisations having business activities directly or indirectly with the COMPANY.该员工向与本公司有直接或间接业务往来的任何个人或机构索取或收受任何货币或非货币形式的财物或好

    46、处。c. The EMPLOYEE fails to perform his/her responsibilities under Articles 11 and Article 12 of this CONTRACT.该员工违反本合同第11条和第12条的规定。d. The EMPLOYEE left from his/her work for more than five (5) working days without prior consent from the Chief Executive Officer except in the case of force majeure whi

    47、ch prevent the EMPLOYEE from informing the Chief Executive Officer.该员工事先未经首席执行官准许擅自离岗超过五个工作日,若因不可抗力导致该员工无法通知首席执行官除外。14.3 The EMPLOYEE may also hand over a written notice of his/her resignation for personal reasons 30 days ahead. If the EMPLOYEE does not provide the COMPANY with one months notice, he/she should pay to the COMPANY one calendar month of salary and allowance mentioned in Article 4 as the compensation.若由于其个人原因,该员工可提前三十天以书面形式提出辞职。若该员工没有提前三十天向公司递交辞呈,该员工将向公司支付依本合同第4条所规定的一个月的月工资及补助作为补偿金。14.4 The COMPA
