21、进行合同之外的设计工作，应被视为额外服务项目，收费应由甲乙双方共同协定。Party A shall appoint a staff to in charge of Party Bs engineering design approval. 22、ce, fees should be design by mutual agreement of both parties.第六章 双方责任Chapter6 Responsibilities of parties6.1 甲方责任 Responsibilities of Party A6.1.1 甲方按本合同协定提交的内容，在协定的时间内向乙方提交资料及文件，并对其完整性、正确性及时限负责。另外，甲方还应提供关于场地条件的数据，包括公用事业、地理条件、道路使用权、限制条件等。 Party A shall submit the data and documents content in accor

23、ding to this contract stipulated, in agreed time limit, and be responsible for its integrity, correctness and time limit. In addition, Party A shall also provide the data about the conditions at the jobsite, including utilities, geographical conditions, road use right, constraints, etc.6.1.2 甲方提交上述资

24、料及文件超过规定期限15天以内，乙方按合同规定交付设计文件时间顺延；期限超过15天以上时，乙方有权重新确定提交设计文件时间。 Party A delay to submitted the data and documents referred above in excess of the prescribed period within 15 days, Party B postpone deliver the design documents in according to the contract stipulation time. If the delay time more than

25、15 days, Party B has the right to determine a new submitted time for the design documents6.1.3 甲方变更委托设计项目、规模、条件或因提交的资料错误，或所提资料作较大修改，以致造成乙方设计需返工时，双方除需另行协商签订补充合同（或另订合同）、重新明确有关条款外，甲方应按乙方所耗工作量向乙方支付返工费。 Party B design reworked causes by Party A change design projects, scale, conditions or because of the

26、presented material mistakes, or mentioned material major revision. Both parties shall sign a supplementary agreement (or sign a new agreement) and redefine relevant terms, Party A shall pay associated rework fee to Party B in according to the workload.6.1.4 在合同履行期间，甲方要求终止或解除合同，乙方未开始设计工作的，不退还甲方已付的定金；

27、已开始设计工作的，甲方根据乙方已进行的实际工作量，另行议定。 During the implement of the contract, Party A request to terminate or rescind the contract, Party B has not started design work, does not return prepaid deposit to Party a; design work has begun, Party A can negotiate with Party B for the fee in according to the actual

28、 workload.6.1.5 甲方应按本合同第五章规定的金额和时间向乙方支付设计费用，每逾期一天，需承担应支付金额千分之二的逾期违约金。逾期超过十四天以上时，乙方有权暂停履行下阶段工作，并书面通知甲方。 Party pay the design fee in according to the clause fifth of this contract, Late payment shall pay 0.2 % of the late payment amount penalty per day, if the late payment is overdue more than 14 days

29、, Party B has the right to suspend its work for next stage, and notice in writing to Party A.6.1.6 甲方要求乙方比合同规定时间提前提交设计文件时，甲方应支付赶工费。 Party A requests Party B to submit the design documents before contract stipulated time, Party A shall pay the rush cost. 6.1.7 甲方应为乙方派驻现场的工作人员提供工作、生活交通等方面的便利条件，但费用由乙方自

30、行承担。Party A should provide Party Bs on-site staffs work, living and traffic conveniences, but the cost shall be bear by Party B. 6.1.8 甲方应保护乙方的设计版权，未经乙方同意，甲方对乙方交付的设计文件不得向第三方转让，否则，乙方有权索赔。Party A shall protect Party Bs design copyright, Party A should not transfer the design documents to third party w

31、ithout the agreement of Party B, or else, Party B has the right to claim for compensation. 6.1.9 甲方有权在本项目对外宣传时使用乙方标识。 Party A has the right to use the logo of Party B in advertising the project.6.2 乙方责任 乙方按本合同协定提交的内容、份数、在协定的时间内向甲方提交成果，并对其完整性、正确性、及时性负责。2.1 Party b shall submit the result content, num

32、ber of copies stipulated in the agreement in time, and be responsibility of its completeness, correctness and timeliness. 6.2.2 乙方对设计文件出现的遗漏、错误或甲方不满意之处负责修改或补充。由于乙方设计错误造成工程质量事故损失，乙方除负责采取补救措施外，应免收受损失部分的 设计费，并根据损失程度向甲方偿付赔偿金。经甲方或上级主管部门审查后，在原定任务书设计范围内的必要修改，乙方负责承担。 Party B shall modify or resupply the des

33、ign document if there appeared omissions, false or unsatisfied by Party A. Due to the engineering quality accidents loss caused by Party Bs design error, party B shall reduce the relevant part design fee, in addition to take remedial measures and be liability for compensation according to the loss t

After examination by Party A or superior departments in charge, amendments request within the scope the original specification design, Party B shall be liable. 6.2.3 由于乙方自身原因，延误了设计文件交付时间，每延误一天，应减收该项目设计费的千分之二。Due to reason of Party B, if delivery time being delayed, Party B should

35、 reduce the project design fee of 2/1000 per delayed days. 6.2.4 乙方交付设计文件后，参加有关上级审查及根据审查结论负责不超出原定计划任务书范围内的必要调整补充。不再计取费用。 After delivering design documents, Party B shall participate in relevant superior examination, and according to the review conclusion to add necessary adjustment. Supplement withi

36、n the scope of original plan task, shall not charge for any additional fee.6.2.5 乙方不得向第三方扩散、转让甲方提交的产品图纸等技术经济资料。如发生以上情况，甲方有权索赔。Party B shall not spread or transfer product drawings, other technical and economic data submitted by Party A to third party. If above circumstance happened, Party A has the

37、right to claim for compensation. 6.2.6 乙方同意配合甲方按工程进度要求调整出图顺序，付款方式可另行协商。Party B agrees to coordinate Party A to adjust drawing deliver order according to the schedule require, payment method can be separately negotiate by both parties.6.2.7 乙方必须根据设计标准、技术规范、设计任务说明等相关景观设计标准进行设计，提交符合质量的设计文件。Party B must

38、 submit the quality design documents in accordance with design standards, technical specifications and design task of relevant landscape design standards.6.2.8 乙方必须在满足方案标准的前提下，选料用材时要注意到景观效果和造价的关系，作到既满足景观效果的要求，又最大限度的降低造价。Party B shall choose materials quality in accordance with landscape effect and p

39、rice under the standards of scheme, in satisfies the requirements effect and maximum reduce cost.第七章 补充条款 Supplemental condition 7.1 合同终止 Termination of contract7.1.1 甲方因自身原因不能履行本合同，应按照合同付清已完成阶段设计任务对应的设计费, 并承担合同总额的10%给乙方作为违约金，合同终止。Party A unable to perform the contract due to its own reason, should

40、pay the design fee of completed phase in accordance with the contract, and bear the 10% of the total contract amount as liquidated penalty, terminate the contract.7.1.2 乙方因自身原因无法履行合同，应退回全部设计费用，并承担合同总额的10%给甲方作为违约金，合同终止。Party B unable to perform the contract due to its own reason, should pay 10% of th

41、e total contract amount as liquidated penalty, and terminate the contract.7 .1.3 由于不可抗力因素致使合同无法履行时，双方应及时协商解决。When unable to fulfill the contract due to force majeure factors, both parties should be resolved through consultation in a timely manner.7.2 未尽事宜及争议的解决 Unmentioned matters and dispute result

42、7.2.1 本合同未尽事宜，双方可签订补充协议作为附件，补充协议与本合同具有同等法律效力。Matters not concerned of this contract, both parties can signed a supplementary agreement as attachments, supplementary agreements and this contract have the same legal effect.7.2.2 在履行合同的过程中，双方发生争议，应本着友好的原则协商解决,协商不成的，依法提交 仲裁委员会仲裁。During the implement of

43、this contract, if dispute occur, should be resolved in negotiation with the principles of friendly consultation. Failed in negotiation, both party can submit it to Arbitration Commission for arbitration according to law.7.2.3 本合同适用于中华人民共和国法律。This contract apply to law of People Republic of China7.3

44、其它 others7.3.1 乙方为本合同项目的服务到施工安装结束为止。Service provide by Party b to this contract shall be valid until the construction installation is complete.7.3.2 甲方委托乙方承担本合同内容以外的工作服务，另行签订协议并支付费用。Other works entrusted by Party A to Party B beyond the range of this contract, shall entered into separate agreements
